Rationale: This resolution is to rescind Resolution 17.4 “EXTENSION OF A GENERAL FUND SERVICE CONTRACT for the Chemical Treatment of Heating and Cooling Water Systems to Syntec Corporation, Contract No. 616117” approved at the stated meeting held on September 21, 2016 and cancel Requisition 2018-2043 in the amount of $27,200.00.

This rescission in necessary because it was discovered that the original agreement did not have the appropriate extension clause required to permit an extension. This was an oversight, since typically all contracts do have this clause. A new Request for Quotes (RFQ) was issued in September and the results being awarded via separate resolution at the November stated meeting.

It is noted that the original agreement was a quote for $27,200.00 under a requirements basis. Only $20,557.07 worth of services were required. The new RFQ price is now $14,975.00. The drop in price is due to the familiarity with the District that Syntec has developed and the reduced scope of work. Initial repairs were made to the systems under previous years do not need to be done under this quote.

Resolution: Ladies and Gentlemen:

WHEREAS: Resolution 17.4 “EXTENSION OF A GENERAL FUND SERVICE CONTRACT for the Chemical Treatment of Heating and Cooling Water Systems to Syntec Corporation, Contract No. 616117” was passed by the Board of Trustees at their stated meeting on September 21, 2017, and

WHEREAS: it has since been determined that this agreement was lacking clauses that permit annual extensions, and

WHEREAS: this agreement has not been executed and no funds drawn under it, and

WHEREAS: the work entailed under this agreement has been let for quote and wil be performed under a separate agreement,

NOW THEREFORE BE IT RESOLVED: That the Resolution 17.4 “EXTENSION OF A GENERAL FUND SERVICE CONTRACT for the Chemical Treatment of Heating and Cooling Water Systems to Syntec Corporation, Contract No. 616117” was passed by the Board of Trustees at their stated meeting on September 21, 2017, be rescinded and PO 2018-00002043 be cancelled.
